Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Syde Ltd(“Syde”, “we”, “us”) governing your use of the Syde platform. Please read them before creating an account or subscribing to a Network.

By creating a Syde account, you confirm you have read, understood, and agree to these Terms. If you do not agree, please do not use the platform.

Section 1

Who we are

Syde Ltdis a company registered in England and Wales (company number 17231998; registered office 11 St Nicholas Street, Suite 201, Weymouth, Dorset, DT4 8AA). We operate an association-management platform that lets organisations (“Network Owners”) create and run online communities (“Networks”) for their members.

Section 2

Eligibility

You must be at least 16 years old to create a Syde account, whether as a member or as a Network Owner. We ask for your date of birth when you register to confirm this.

If you register on behalf of a business or other organisation, you confirm you have authority to bind that entity to these Terms.

We may verify eligibility at any time and may suspend or close an account where we have reasonable grounds to believe it does not meet these requirements.

Section 3

Your account

You’re responsible for keeping your account credentials confidential and for all activity under your account. You must:

  • Provide accurate, complete, and current information when registering;
  • Keep your login details secure and not share them with anyone else;
  • Tell us straight away at hello@syde.to if you think your account has been accessed without your permission.

We’re not liable for loss or damage arising from unauthorised access to your account where you failed to keep your credentials secure.

Section 4

The Syde platform

Syde lets Network Owners create and manage Networks, and lets members discover and take part in them. Depending on how a Network Owner configures their Network, this can include posts and discussion, events, a document library, groups, messaging, and — where enabled — paid membership and an online store.

We provide the platform infrastructure. We’re not a party to the relationship between a Network Owner and their members, except where these Terms say otherwise. The content, rules, and day-to-day running of each Network are the Network Owner’s responsibility.

We may update, add to, or discontinue platform features with reasonable notice. We’ll give at least 30 days’ notice of any material change that affects an existing paid subscription or paid feature.

Section 5

Acceptable use

You agree to use Syde lawfully and in line with these Terms. You must not:

  • Use the platform for any unlawful purpose or in breach of applicable law;
  • Post or share content that is defamatory, fraudulent, abusive, harassing, threatening, obscene, or otherwise objectionable;
  • Infringe Syde’s or any third party’s intellectual property rights;
  • Try to gain unauthorised access to any part of the platform, another user’s account, or our systems;
  • Introduce viruses, malware, or other harmful code;
  • Use bots, scrapers, or other automated tools to access or extract data from the platform without our prior written consent;
  • Impersonate any person or entity, or misrepresent your affiliation with one;
  • Send unsolicited bulk communications (spam) through the platform;
  • Resell or commercially exploit any part of the platform without our express written permission.

We may suspend or close your account immediately if we reasonably determine you’ve breached these requirements.

Section 6

Network Owners

This section applies to users who create and run a Network.

6.1 Your responsibilities

As a Network Owner, you’re responsible for:

  • Running your Network lawfully, including compliance with applicable law and regulation;
  • Giving your members accurate information about your Network, including any subscription terms, renewal arrangements, and how you use their personal data;
  • Making sure your Network’s content and activities comply with our acceptable use requirements;
  • Where your Network is operated by a company, charity, or other registered organisation, disclosing your legal name, registered address, and any relevant registration number to your members — for example in your Network’s About section or membership terms — as required for organisations conducting commercial transactions with consumers.

6.2 Platform fees

Network Owners are subject to the Syde platform fee described in Section 8. You agree that Syde may deduct its platform fee from subscription and purchase payments processed through the platform, via Stripe, before remitting the balance to you.

6.3 Content and conduct

You’re responsible for content published within your Network. We may remove content, or take action against your account, if we determine it breaches these Terms or applicable law, including the Online Safety Act 2023.

6.4 Suspension and termination

We may suspend or close a Network with reasonable notice where we have grounds to believe the Network Owner is in material breach of these Terms, where required by law, or where the Network poses a risk to other users or to the platform. Where reasonable, we’ll notify you and give you a chance to fix the issue before taking action.

6.5 Data processing on your behalf

Where Syde processes personal data of your Network’s members on your behalf — for example storing membership records, processing subscription payments, or sending communications — Syde acts as a data processor and you act as data controller for that processing. By agreeing to these Terms, you agree that this section constitutes the written data processing agreement required between us under UK GDPR Article 28.

Syde will:

  • Process member data only on your documented instructions (including as set out in these Terms);
  • Ensure anyone we authorise to process member data is subject to a duty of confidentiality;
  • Implement appropriate technical and organisational security measures;
  • Only engage the sub-processors published at syde.to/legal/sub-processors, and give you notice before adding a new one, as described there;
  • Reasonably assist you in responding to data subject rights requests concerning your members;
  • Delete or return member data on request following termination, except where we’re required by law to retain it; and
  • Make available the information reasonably necessary to demonstrate compliance with this section.
Section 7

Member subscriptions

Network Owners may offer paid memberships (“subscriptions”) to their Networks. If you subscribe as a member:

7.1 Subscription agreement

Your subscription creates a contract between you and the Network Owner. Syde processes the payment on the Network Owner’s behalf but isn’t a party to that underlying membership agreement.

7.2 Renewals

Subscriptions renew automatically at the end of each billing period (monthly or annually, as shown at checkout) unless you cancel before the renewal date. You’ll receive an email reminder before renewal, and can manage or cancel your subscription at any time from your account.

7.3 Price changes

Network Owners may change subscription prices. If your price increases, we’ll email you at least 30 days before the change takes effect. If you don’t want to continue at the new price, you can cancel before your renewal date.

Section 8

Payments and fees

8.1 Payment processing

All payments on Syde are processed by Stripe, Inc., our payment processor. By paying through the platform, you agree to Stripe’s own terms, available at stripe.com/gb/legal. Syde never stores your full card details — these are held securely by Stripe.

8.2 Syde is not a financial services provider

Syde doesn’t hold client money. Payments are processed directly between you and the Network Owner via Stripe; Syde collects a platform fee as part of that process and the balance is remitted to the Network Owner.

8.3 Platform fee

Syde charges Network Owners a platform fee on subscription and purchase payments processed through the platform. The fee depends on the Network Owner’s plan tier and, for one-off purchases (such as event tickets or store items), includes a small flat per-transaction amount on top of the percentage. Current rates are always shown in the Network Owner’s billing dashboard and on our pricing page. We may change the fee structure with at least 30 days’ written notice to Network Owners.

8.4 Refunds

Refunds for Network subscriptions are at the Network Owner’s discretion and governed by their own refund policy, if published. Where no refund policy is published, no refund will be given except as required by law — including the statutory cancellation right in Section 8.5.

If you think you’ve been charged incorrectly, please contact the Network Owner first. If you can’t resolve it with them, contact us at hello@syde.toand we’ll try to help.

8.5 Your statutory cancellation rights

Where you subscribe to a Network as a consumer (acting outside any business or trade), you have a legal right to cancel within 14 days of purchase without giving a reason, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

How to cancel:notify the Network Owner or Syde support, in writing (e.g. by email or via “Manage subscription” in your account), with a clear statement that you wish to cancel. It’s enough to send this before the 14-day period expires.

Since Syde’s checkout gives you the option to access a Network straight away rather than waiting out the 14-day period, if you take up that immediate access and then cancel, you’ll be entitled to a pro-rata refundfor the unused portion of your subscription, reflecting the service already provided between your subscription start date and your cancellation date. If you haven’t yet accessed the Network when you cancel, you’ll receive a full refund. Either way, refunds are made without undue delay and within 14 days of us being told you want to cancel, using the same payment method you used originally, at no extra cost to you.

For example: if you subscribe for one month at £10 and cancel after 7 days of a 30-day month having already accessed the Network, you’d be entitled to a refund of approximately £7.67 (23/30 × £10).

After the cooling-off period:once the 14 days have passed, your statutory cancellation right ends. Cancellation after that point is governed by the Network Owner’s refund policy and Section 8.4 above.

8.6 Payment confirmation

After any payment, you’ll get an email confirmation to your registered address, showing the amount charged, the subscription period, the Network name, and a transaction reference.

8.7 Failed payments

If a payment fails (for example an expired card), we’ll notify you by email and may retry it. Where a payment stays outstanding, access to the relevant Network may be suspended until it’s settled.

8.8 VAT

Where a Network Owner is VAT-registered, VAT is calculated and shown separately at checkout, before you confirm payment. Network Owners are responsible for accounting for VAT on their own subscriptions and store sales where they’re VAT-registered; Syde isn’t responsible for a Network Owner’s own VAT obligations.

8.9 Store and one-off purchases

Where a Network includes a Store, one-off purchases are subject to the Network Owner’s own terms for those purchases, in addition to these Terms. Delivery terms, if applicable, are set by the Network Owner and shown at checkout.

Section 9

AI-assisted features

Syde includes optional, clearly-labelled AI-assisted features (for example, help drafting an event or Network description). By using them, you agree that:

  • What you submit may be processed by our AI provider to generate a response — see our sub-processor list for the specific provider currently in use;
  • AI-generated output is for assistance only and isn’t professional, legal, financial, or other regulated advice;
  • You’re responsible for reviewing and checking any AI-generated output before relying on it or sharing it;
  • You won’t submit special category personal data, confidential third-party information, or anything that infringes a third party’s rights, to an AI feature;
  • We don’t guarantee the accuracy, completeness, or suitability of AI-generated output for any purpose.

Using AI features is entirely optional — you can use the rest of the platform without them. See our Privacy Policy for how AI input data is handled.

Section 10

Intellectual property

10.1 Syde’s intellectual property

The Syde platform, including its software, design, logos, and brand elements, is owned by Syde Ltd and protected by intellectual property law. Nothing in these Terms gives you any rights in it except as expressly stated.

10.2 Your content

You keep ownership of content you post or upload (“Your Content”). By posting it, you grant Syde a non-exclusive, worldwide, royalty-free licence to store, process, display, and transmit it as necessary to provide the platform to you.

You confirm you have the rights needed to grant this licence and that Your Content doesn’t infringe anyone else’s rights.

10.3 Network Owner content

Network Owners are responsible for making sure content published within their Network doesn’t infringe any third party’s intellectual property rights. We may remove content or act against a Network on receipt of a valid complaint.

Section 11

Third-party integrations and links

Syde may integrate with, or link to, third-party services — including Stripe for payments, and providers listed at syde.to/legal/sub-processors for AI and other features. These are subject to their own terms and privacy policies.

We don’t control third-party services and aren’t responsible for their availability, content, or practices. Use of any third-party service is at your own risk. We’d encourage you to review the terms of any third-party service you use alongside Syde.

Section 12

Privacy and data protection

Your use of Syde is also governed by our Privacy Policy, which forms part of these Terms. By using the platform, you consent to us collecting and using your personal data as described there.

Section 13

Limitation of liability

13.1 What we’re not responsible for

To the fullest extent permitted by law, Syde isn’t liable for:

  • Loss of profits, revenue, business, or anticipated savings;
  • Loss or corruption of data;
  • Loss of goodwill or reputation;
  • Indirect or consequential loss;
  • Loss or damage arising from the acts or omissions of Network Owners, other users, or third-party service providers;
  • Interruption or unavailability of the platform due to circumstances beyond our reasonable control.

13.2 Cap on liability

Where we’re found liable to you, our total liability is capped as follows:

  • Business users (Network Owners): our liability won’t exceed the total platform fees you paid us in the 12 months before the event giving rise to the claim;
  • Consumer users (members): our liability won’t exceed the greater of (a) the total subscription fees you paid in the 12 months before the event giving rise to the claim, or (b) £100.

13.3 Your statutory rights are preserved

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that can’t be limited or excluded by law. Nothing here affects your statutory rights as a consumer.

Section 14

Platform availability

We aim to keep Syde available around the clock, but we don’t guarantee uninterrupted access. The platform may be unavailable due to planned maintenance (we’ll give advance notice where practical), emergency maintenance or security incidents, or circumstances beyond our reasonable control. We’ll aim to restore access as quickly as we can after any unplanned outage.

Section 15

Termination

15.1 Termination by you

You can close your Syde account at any time by submitting a deletion request from Profile → Preferences, or by emailing hello@syde.to. We review and action account deletion requests within 30 days. Closing your account cancels any active subscriptions at the end of the current billing period; you won’t get a refund for unused time unless you’re within a statutory cancellation period (see Section 8.5).

If you’re a Network Owner, closing your account closes your Network(s) and any pending member subscriptions won’t renew. Please give your members advance notice before closing a Network.

15.2 Termination by us

We may suspend or close your account immediately if:

  • You materially breach these Terms and don’t fix it within 14 days of written notice (where the breach can be fixed);
  • We have reasonable grounds to believe your account is being used for fraud or unlawful purposes;
  • We’re required to by law or by a regulator.

In any other case, we’ll give you at least 30 days’ notice before closing your account.

15.3 Effect of termination

Once your account is closed, your access to the platform ends. We’ll keep your personal data only as long as required by law or set out in our Privacy Policy. You can request an export of your data before your account is closed via Profile → Preferences, or by emailing privacy@syde.to.

Section 16

Changes to these Terms

We may update these Terms from time to time. When we make a material change, we’ll notify you by email and by showing a notice on the platform, at least 14 days before the change takes effect.

Continuing to use Syde after an updated version takes effect means you accept it. If you don’t, you’ll need to stop using the platform and close your account before the effective date.

These Terms are always available at syde.to/terms.

Section 17

Governing law and dispute resolution

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the courts of England and Wales, subject to the paragraph below.

If you’re a consumer resident in Scotland or Northern Ireland, you can also bring proceedings in the courts of Scotland or Northern Ireland respectively — nothing here affects that right.

Before going to court, we’d encourage you to contact us at hello@syde.to so we can try to sort things out informally first.

Section 18

General

18.1 Entire agreement

These Terms, together with our Privacy Policy and any other policy referenced here, are the entire agreement between you and Syde about your use of the platform, and supersede any prior agreements or understandings.

18.2 Severability

If a court finds any part of these Terms invalid or unenforceable, that part will be changed as little as possible to make it valid, or removed if that’s not possible — the rest continues in full force.

18.3 Waiver

If we don’t enforce a right or remedy under these Terms straight away, that’s not a waiver of it. Waiving one breach doesn’t waive any later breach.

18.4 No third-party rights

These Terms don’t create rights enforceable by anyone else under the Contracts (Rights of Third Parties) Act 1999, except where we say so expressly.
